1. Acceptance of Terms

4.2 Client Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in deliverables created specifically for a client under a service agreement shall be transferred to the client upon full payment. Pre-existing materials and tools used in the creation of deliverables remain the property of the Company.

5. Service Agreements and Payment Terms

Specific services will be provided under separate written agreements that detail the scope, timeline, deliverables, and fees.

5.2 Payment

Payment terms will be specified in individual service agreements. Unless otherwise stated, invoices are due within 30 days of the invoice date. Late payments may incur interest charges.

5.3 Cancellation and Refunds

Cancellation and refund policies will be specified in individual service agreements. Generally, fees for work already completed are non-refundable.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives the termination of any service agreement.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or related to our services shall not exceed the amount paid by the client for the specific services giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of our services or violation of these Terms.

10. Term and Termination

These Terms remain in effect while you use our services. Either party may terminate a service agreement as specified in that agreement. Upon termination, you must cease using our services and any materials provided by us.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising out of or relating to these Terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the competent court in Haikou, Hainan Province, China.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and the Company regarding the use of our services.
